Job description
1.Licensing management :
- Self-handle and / or instruct legal members to procedures for obtaining and renewing Investment Registration Certificates (IRC), Enterprise Registration Certificates (ERC), and branch / subsidiary registrations
- Manage adjustments or amendments to IRC / ERC for the Company and its branches
- Liaise with licensing authorities to ensure timely and accurate submissions and compliance with investment and enterprise laws
2. Consultancy :
Provide legal advice to internal departments on daily operational issues, regulatory matters, and corporate activitiesSupport and advise the BOD on legal implications of strategic and operational decisionsDraft internal legal reports and regulatory summaries as requestedHandle ad hoc and unusual legal inquiries from internal stakeholdersConsult on the legal aspects of new business models, joint ventures, investment projects, or expansion plansMonitor updates in relevant laws and regulations and advise management accordingly3. Contract :
Review, draft, wide range of contracts for internal operational departments. Especially, lease agreements, BCCs, royalty-based contractsDevelop and maintain standard contract templates and contract management guidelines.Support internal departments with contract interpretation and risk assessmentImplement best practices for contract lifecycle management4. Litigation, Dispute Resolution, and Inspections :
Manage litigation and dispute resolution cases, including commercial, labor mattersRepresent the company in legal proceedings where applicableJoin in the legal support for the inspection, investigation from authority and group5. Affiliate management :
Provide legal consultancy and contract review support for affiliate companies.Oversee and manage all legal issues related to affiliates, ensuring consistency with the Company's legal and compliance policies.Act as the key point of contact for all affiliate-related legal matters6. Join in the support for unusual legal requirement :
Join in the legal research relating to unusual legal issueJoin in the internal legal meeting7. Other tasks as assigned
Carry out other legal tasks as requested by the Head of LegalJob requirements
University graduated in Law fieldLawyer certificate (if any)Minimum 7-year experience as Legal Counsel or Legal Executive in a foreign companies or similar industry experience is preferred;Good knowledge of investment laws, enterprise laws, civil law, labor laws and contract management;Skills : Strong analytical, problem solving, negotiation, law interpretation and implementation skills;Details oriented, strong communication skills;Highly proficiency in oral, writing and communications in both English and Vietnamese;Competitive Analysis
